For more than 30 years, I have focused my practice on the law and its application to a variety of business settings. As an attorney, both in law firms and in-house, and, as the president & general counsel of and as an equity stake-holder in a number of businesses, I understand well the sometimes competing goals of legal and business problems, giving me a unique approach to their solutions.
As an attorney working in-house and in law firms, I have drafted and negotiated a wide variety of transactions, including general commercial deals, and others involving international projects/agreements, intellectual property, licensing, digital, technology, privacy, security, finance, marketing, operations, real estate and human resources, to name only a few. I am experienced in corporate creation and governance and in project management.
In addition to helping to lay the proper groundwork for differing business paths, I have provided triage when things have gone wrong. Whether negotiating an exit from a bad deal, responding to a government regulator, or overseeing complex litigation, my business experience has enabled me to incorporate fully the cost/benefit analysis necessary to any successful resolution.
Legal issues should not be viewed in isolation; they are part of a business’ fabric and appetite for risk. Therefore, legal advice is most efficient and cost effective when it is sought early, at the time a business’ strategic plans are developed and each time the plans are adapted to changing external and internal realities. The costs and benefits of different strategic paths will be incomplete without an accompanying legal analysis. My experience in both creating strategic plans as the business executive and helping to evaluate such plans as legal counsel allows me to understand the perspective of each.
Companies with which I have worked range from consumer product start-ups (both hard and soft goods), to established service companies, to billion dollar health and fitness consumer goods businesses, to global companies with multiple branches, diverse products and globally diverse manufacturing.
I am flexible in my approach, able and willing to adapt to changing circumstances, and listen to and understand each business’ needs and goals, all of which are required to be a good legal partner.
